Bu tezde anonim şirketlerde yönetim kurulu üyelerinin hukuki sorumlulukları Türk Ticaret Kanunu Tasarısı'na göre incelenecektir. Tezin birinci bölümünde hukuki sorumluluk kavramı incelenecektir. Hukuka aykırılık, kusur, zarar ve nedensellik bağı hukuki sorumluluğun şartları olarak tanımlanacaktır. Bu açıklamalara ek olarak hukuki sorumluluğun türleri, sebepleri ve hukuki sorumluluğun düzenlenme planı Türk Ticaret Kanunu ve İsviçre Borçlar Kanunu karşılaştırması yapılarak tartışılacaktır. Tezin ikinci bölümünde Türk Ticaret Kanunu Tasarısı'nda yer alan sorumluluk halleri açıklanacaktır. Üçüncü bölümde, hukuki sorumluluk davasının usuli hükümlerinin ve kanuna aykırılığın sonucu olan tazminatın tanımı yapılacaktır. Ayrıca hukuki sorumluluğu sona erdiren ibra, zamanaşımı gibi temel kavramlara yer verilecektir. The objective of this thesis is to research legal liability of the members of management board in joint stock companies. This thesis is about the legal liability of members according to Commercial Draft Law. In the first section of this thesis, the concept of legal liability will be explained. Illegality, fault, damage and causality will be defined as the clauses of liability. In addition to these explanations, sorts, causes and the plan of legal liability regulation will be discussed making comparisons with Turkish Commercial Code and Swiss Code of Obligations (OR). In the second section of this thesis, circumstances of liability in accordance with Commercial Draft Law such as infringement of legal requirements and articles of associations will be described. In the third section, procedural principles of legal liability case and sanction which is the result of infringement will be defined. The section also includes the compromise, release of debt and prescription as the essential concepts which end the legal liability.
