Ancak kişilerin bir anonim şirkette pay sahibi olmak istemeleri için bu şirketlerin güçlü sermaye yapısına sahip ve piyasalara güven verici olmaları gerekmektedir. Kişiler ortak oldukları anonim şirketlerde doğal olarak kar elde etmek isterler. Bu sebepledir ki şirket esas sermayesinin korunmasında, anonim şirketin iflas edip yok olmamasında menfaatleri vardır. Ayrıca anonim şirketlerin borçlarından dolayı sorumlulukları şirket mal varlığı ile sınırlı olmasından dolayı anonim şirket esas sermayesinin korunmasında alacaklıların, son tahlilde de anonim şirketler küçük tasarrufları bir araya getirip yatırıma çevirme ve işsizliği önleme işlevini gerçekleştirdikleri için ülke ekonomisinin anonim şirket esas sermayesinin korunmasında menfaati vardır. Bu kadar büyük bir menfaat grubunu ilgilendirmesi ve çok büyük sermaye oranlarına sahip olmasından dolayı, anonim şirket yönetim kurulunun esas sermayenin korunmasındaki sorumluluğu da ayrı bir öneme sahip bulunmaktadır. Çalışmamızın amacı anonim şirketlerde önemli bir yer tutan esas sermayenin oluşumunu anlatmak, esas sermayenin korunması yolları hakkında Türk Ticaret Kanunu hükümleri çerçevesinde bilgi vermek ve olası esas sermaye azalmalarından dolayı şirket esas sermayesinin korunmasında asli görevli olan yönetim kurulunun sorumluluğunu irdelemektir. Individuals make some sort of payment in order to get shares and thus become shareholders of the joint stock corporations. However, nobody would be interested in getting a share in a joint stock corporation, unless that joint stock corporation has a strong capital structure and a credible name in the market. Naturally, the individuals would like to make profits through the joint stock corporations in which they are shareholders. Therefore, they have interest in protecting the joint stock corporation's registered capital against bankruptcy or termination. In addition, the creditors also have interest in protecting the joint stock corporation's registered capital since the liability of joint stock corporations arising from their debts is limited to the assets of the corporation. Finally, the country's economy has interest in protecting the joint stock corporation's registered capital as well since joint stock corporations have a function to gather small savings and convert them into investments and to prevent unemployment. As the joint stock corporation concern this many interest groups and they have very large amounts of capital, the liability of the board of directors of the joint stock corporation to protect the joint stock corporation's registered capital has a distinctive importance. The objective of this study is to describe the composition of the joint stock corporation's registered capital which occupies a significant place in corporations, to provide information regarding the protection of joint stock corporation's registered capital within the scope of the provisions of the Turkish Commercial Code and to analyze the responsibility of the board of directors whose prime obligation is to protect the joint stock corporation's registered capital against possible decreases in capital.
