Yoğunlaşma işlemlerinin kontrolü, rekabet hukukunun önemli konularından birisidir. Yoğunlaşma işlemlerinin etkinlik, verimlilik yaratması ve diğer bazı olumlu etkileri olmakla birlikte pazarda etkin rekabetin önemli ölçüde engellenmesi ya da ortadan kaldırılması riskini de içermektedirler. Bu risk çerçevesinde, Rekabet Kurulu'nun yoğunlaşmaların kontrolündeki fonksiyonu ve alacağı kararların niteliği, teşebbüslerin gerçekleştirmek istedikleri işlemin akıbetini belirlemektedir. Rekabet Kurulu'nun yoğunlaşmaların kontrolünde karar portföyünde; işleme izin verme, izin vermeme ya da şartlı izin verme gibi kararlar yer almaktadır. Özellikle yoğunlaşmalara şartlı izin verilmesi, Rekabet Kurulu'nun yoğunlaşma riski doğuran işleme izin vermesi ile vermemesi arasında yer alan, ekonomik ve hukuki sonuçları yönünden hassas bir denge sağlamayı gerektiren bir konudur. Bu bağlamda şartlı izin prosedürünün şekli koşullarının ve işlem içeriği ile ilgili değerlendirme kıstaslarının hukuki belirsizlik doğurmayacak şekilde düzenlenmesi, yoğunlaşmaların olumlu etkilerinin korunmasını sağlarken, olumsuz etkilerinin de denetim altına alınmasıyla pazarda rekabet düzeninin korunmasına hizmet edecektir. One of the important issues in competition law is considered as the control ofprocess of concentration. Although the process of concentration creates some constructive affects like efficiency, it also consists of the risk of disturbance of effective competition in the market. In the frame of this risk mentined; The functioning and the composition of the decisions that are taken by the competition authority determines the outcome which the parties would like to reach. Indecision file of competition authority about in the issue of control of concetration; there are Giving permission to process, not giving permission to process, and conditional permission to process etc decisios are made .Given or not given conditional permission to the companies by considering the risk of process of concentration by the competitive authority need to be done in a balanced and sensitive manner because of the results that may come out on economical and legislative issues. In this context organizing the conditional permission process under the circumstances of by not disturbing low will result to secure the constructive affects. It also allows to secure the competition rules in the market by keeping down privative affects.
