Bu çalışmanın amacı genel olarak; rehni, rehin kavramını ve türlerini, rehnin yapım yöntemini, anonim ve limitet şirketlerinin -hisse ipoteği özelliklerini dikkate alarak- kuruluş ve sona erme usullerini açıklığa kavuşturmaktır. Ayrıca, hisselerin menkul kıymetler olabilmeleri itibarıyla ticari şirketlerdeki hisseleri, bunların şekilleri ve bunlarla muamele yolları, etkili finansal ve ticarî garanti araçları olmaları açısından ticarî ilişkilerin esnekliğini sınırlayan sorunları ve engelleri açıklamaktır. Aynı zamanda ticarî şirketlerin sermayelerinin toplanmasında etkili araç olmalarının karakteristik özelliklerini de izah etmektir. Bununla birlikte, yasa koyucunun, şirketlerdeki hisseleri rehin altına alma sürecini ve bu konuda alınan yargı kararlarına ve yapılan içtihatlara erişmeyi düzenlemeye yönelik hükümleri ve yasal düzenlemeleri tanıma arzusuyla, bunları, yasa metinleri ve karşılaştırmalı içtihatlar ile olabildiğince karşılaştırarak bu yasal boşluklara ve eksikliklere uygun çözümleri bulmak ve bazı yasa metinlerinde bulunan karışıklığı ortadan kaldırmak için en iyi sonuca ve çözüme veya en doğru olana ulaşmaya çalışmak ve bilimsel yönde az da olsa katkı sağlamaktır. Anonim ve limitet şirketlerindeki hisse rehnini ayrıntılı bir şekilde tartışmak için bu tezi üç bölüme ayırdık ve ilk bölümde rehnin tanımını ve çeşitleri ile yasal niteliğini açıkladıktan sonra hisselerin mahiyetine, niteliğine ve özelliklerine temas ettik. Ayrıca ele almış olduğumuz rehnin konumunda olmaları itibarı ile hisselerin biçimlerini de inceledik İkinci bölümde, hisse rehni kurulmasına ve onun etkilerine iki başlıkta değindik. İlk başlıkta rehnin kuruluşunu da iki kısımda ele aldık. Birinci kısımda bazı meselelerde hisse rehni sözleşmesinin özelliğine işaret ederek her sözleşmede yer alması gereken genel hükümleri, ikinci kısımda da ayni sözleşme olması itibarıyla zilyetlik sayılan hisse rehnine özgü hükümleri inceledikten sonra hisse rehninin şekil şartı olarak sicilde kayıt altına almayı inceledik. İkinci başlıkta da hisse rehninin etkilerini iki kısımda ele aldık. Birinci bölümde rehin veren ortağın ve rehin alan alacaklının hak ve yükümlülüklerini belirterek sözleşme yapan taraflar arasında hisse rehninin etkilerini açıkladık. İkinci kısımda da bahis konusu konuya göre bu hakların özelliğini dikkate alarak rehnedilen hisselerin hapsedilme hakkı, gelişme/ilerleme hakkı (öncelik) ve izleme/takip haklarından olan hisse rehninin üçüncü şahıslar üzerinde etkilerini açıkladık. Üçüncü bölümde hisse rehninin sona ermesini iki başlıkta ele aldık. Birincisinde, hisse rehninin aynî bir hak olması itibarıyla, rehnin süresinin sona ermesini buna bağlı olarak inceledik. İkinci başlıkta da teminatlı borçtan bağımsız olarak, aslî haliyle hisse rehinin sona ermesini açıkladık. Çalışmamızı, ulaşmış olduğumuz en önemli bulguları ve yapmış olduğumuz önerileri içine alan bir sonuç ile bitirdik.
The purpose of this study is to clarify the ending procedures in general, taking into account the characteristics of the concept of the mortgage, of the concept, of the type, of the construction method, and of the commercial stock quotes in anonymous and limited companies. In addition, as their material and moral securities, they are to clarify the problems and obstacles that restrict the flexibility of commercial relations, as they are the effective financial and commercial guarantee instruments, the forms of their business, their form and ways of handling them. It also explains the characteristics of the fact that commercial companies are effective tools in the collection of capital. For this reason, the legislator should be able to find solutions in accordance with these legal gaps and deficiencies by comparing them with the legal texts and comparative case-law as much as possible in order to recognize the process of mortgaging the corporations' interests and the judicial decisions taken in this respect and the regulations and legal arrangements for regulating access to case- to remove the confusion found in some texts of law, to try to achieve the best result and solution, or to the right legal justice, and to make a little contribution to the cognitive and legal aspects. In order to discuss in detail the share hypothecation in anonymous and limited companies, we separated this thesis into three divisions and after we explained the definition and varieties and legal nature of the mortgage in the first section, we then contacted the nature, nature and characteristics of the shares. We also contacted the forms of the shares with the reputation of being in the position of mortgages that we have dealt with. In the second part, we talked about the establishment of the share mortgage and its effects. In the first chapter we discussed the establishment of the ipotein in two parts. In the first part, we pointed to the general rukuns which should be included in each contract by pointing to the nature of the share mortgage contract in the first part and in the second part, after recording the shareholdings specific to the mortgage, which is considered to be the same contract as the same contract. In the second chapter, we discussed the effects of the share subscription in two parts. In the first section we explained the rights and obligations of the pledgee and the pledgee, and explained the effects of the pledge between the contracting parties. In the second part, we considered the effects of the right of imprisonment, development / advancement (priority) and monitoring / tracking rights of mortgaged shares to third parties taking into account the nature of these rights according to the subject matter of the betting. In the third chapter, we have discussed the sona of the share ipote in two chapters. In the first place, we have dealt with the end of the mortgage depending on the fact that the share subscription is a right. In the second chapter, we have explained the end of the share pledge as an independent, independent of the collateralized debt. We ended up with a conclusion that included our work, the most important findings we reached, and the recommendations we made.
