Ülkemizde belirli şirketlerde uygulanma zorunluluğu, belirli şirketlerde de uygulanma zorunluluğu bulunmadığı halde bağımsız denetimden geçmiş şirketlerde uygulanan Türkiye Muhasebe Standartları ile vergi mevzuatı arasındaki farklılıklardan dolayı geçici ve sürekli farklar meydana gelmektedir. Geçici farklar cari dönem ya da ilerideki dönemlerde işletmenin ödeyeceği vergiyi azaltan ya da artıran durumlar ortaya çıkarmaktadır. Bu durumdan dolayı işletmenin cari dönemde vergiye tabi karı ile ticari karı arasında farklılıklar oluşmaktadır. Hesaplanan kar tutarlarından hangisinin dağıtılacağı konusunda çeşitli görüşler vardır. Bu çalışmada, anonim şirketlerde TMS uygulama zorunluluğu bulunmayan ancak bağımsız denetim sonucunda iki farklı mali tablo ve kar tutarları ortaya çıkması sebebiyle oluşan karın dağıtımının TMS'ye göre dağıtılması durumunda ortaya çıkan kar payları, kar payları üzerinden ödenecek gelir vergisi tutarları ve genel kanuni yedek akçelerdeki farklılıklar karşılaştırılmıştır. Öncelikle sermaye şirketleri ile ilgili bilgiler verilmiş, özellikle anonim şirketlerin özellikleri, organları, avantajları, dezavantajları, sermaye artırımı ve azaltımı konuları anlatılmış; daha sonra vergi mevzuatı ve TMS 12 Gelir Vergileri standardına göre ticari kazancın tespiti anlatılmış, ticari kar ile vergiye tabi kar arasında oluşan geçici farklardan, ertelenmiş vergi etkisinden, kar dağıtımı, yedek akçeler ve kar dağıtımında standartların etkisinden bahsedilmiştir. Bu açıklamalar doğrultusunda VUK'a ve TMS'ye göre oluşan kar tutarları üzerinden kar dağıtımı yapılmış ve genel kanuni yedek akçelerin, ortakların elde edeceği kar payları tutarları ve vergi yüklerinin ne kadar olduğu karşılaştırılmıştır. In our country, although there is an obligation for some companies and there is no obligation for some with the implementation of independent audit, there have been temporary and permanent differences among the companies that are independently audited due to the differences between Turkey Accounting Standards and tax legislation. Temporary differences result in situations that reduce or increase the tax to be paid by the enterprise in the current or future periods. Due to this situation, there have been differences between the taxable profit and the commercial profit of the enterprise in the current period. There are various views on which of the calculated profit amounts to be distributed. In this study, the differences that occur in the profit shares, income tax amounts to be paid over dividends and general legal reserves in the event of the distribution of profit, which occur due to two financial statements and profit amounts as a result of independent audit but without TMS implementation obligation in joint stock companies, in accordance with TMS due to have been compared. First of all, the information about capital companies, especially about properties, organs, advantages, disadvantages, capital increase and reduction of joint stock companies was given, then tax legislation and TMS 12 the determination of commercial income according to the Revenue Tax Standard was explained and temporary differences between commercial profit and taxable profit, deferred tax effect, profit distribution, reserve funds and the effect of standards on profit distribution were mentioned. In accordance with these explanations, profit distribution was made out of the profit amounts according to VUK and TMS and the general legal reserves, amounts of the profit shares to be gained by the partners and their tax burdens were compared.
