<p>Anonim ortaklığın temel organlarından biri genel kuruldur. Genel kurul esasen pay sahiplerinin toplanması ile meydana gelir. Genel kurulda alınan kararlar anonim ortaklığın iradesini oluşturur. Bu önemi dolayısıyla genel kurul çeşitli prosedürlere göre çağrılır, toplanır ve karar alır. Bu prosedürler bir yandan ortaklığın, diğer yandan pay sahiplerinin menfaatine hizmet eder.</p><p><br>Bazı genel kurul toplantılarında Ticaret Bakanlığı temsilcisinin bulunması kanun koyucu tarafından şart tutulmuştur. Bu temsilcinin atanmasına dair ayrıntılı hükümler yönetmelik ile düzenlenmiştir. Ancak yönetmelik uygulamada sorun çıkarabilecek hükümler içermektedir.</p><p>İşbu çalışmada genel kurulun çağrı usulüne uyulmaksızın toplanması durumunda Bakanlık temsilcisinin atanmasına yönelik özel durumlar yönetmelik hükümleri çerçevesinde ele alınacaktır.<br></p> |

<p>One of the primary organs of a joint-stock company is the general assembly. The general assembly is essentially constituted by the gathering of shareholders. The decisions taken in the general assembly collectively represent the will of the joint-stock company. Due to this importance, the general assembly is convened and resolved according to various procedures. These procedures serve the interests of the corporation on the one hand and the shareholders on the other.<br></p><p><br>In certain instances, the legislative body mandates the attendance of a representative from the Ministry of Trade at general assembly meetings. The appointment of this representative is governed by detailed provisions outlined in the relevant regulation. However, the regulation includes stipulations that may present challenges in practice.</p><p><br>The present study will examine the specific circumstances pertaining to the appointment of the Ministry representative in instances where the General Assembly convenes without adhering to the prescribed call procedure. This examination will be conducted in accordance with the stipulations set forth in the pertinent regulatory provisions.</p> |
