6102 sayılı TTK’de, kurumsal yönetim ile ilgili bir taraftan ilkesel ve genel düzenlemeler yer aldığı gibi; diğer taraftan kurumsal yönetime uygun düzenlemeler yer almaktadır. Kurumsal yönetime uygun düzenlemelerden birisi de, 6102 sayılı TTK’in 361’inci maddesinde yer alan anonim şirket yönetim kurulu üyelerinin mesleki sorumluluk sigortasıdır.Anonim şirket yönetim kurulu üyelerinin mesleki sorumluluk sigortası, kanundan ve esas sözleşmeden doğan yükümlülüklerini ihlal edip kusurlu olarak şirkete zarar veren yönetim kurulu üyelerine karşı şirketi güvence altına almayı amaçlamaktadır. Yönetim kurulu üyelerinin kusurlu davranışları ile şirkete karşı verebilecekleri zararı tazmin etmesi, yönetim kurulunun profesyonel, sorumluluk bilinci taşıyan, görevinin gerektirdiği yetenekleri haiz kişilerden oluşmasına katkı sağlaması ve anonim şirketin kurumsal yönetim ilkelerine uyum derecesini attırması nedeniyle 6102 sayılı TTK’de anonim şirket yönetim kurulu üyelerinin mesleki sorumluluk sigortasına isteğe bağlı olarak dahi yer verilmesi isabetli olmuştur. As on the one hand the principle and general arrangements related to corporate governance are located in TCC No. 6102, on the other hand appropriate arrangements for corporate governance are located in. One of the appropriate arrangements for corporate governance is the professional liability insurance of the members of management board in joint stock company that is located in Article 361 of TCC No. 6102.The professional liability insurance of the members of management board in joint stock company aims to guarantee the company against members of the board of directors who harm to the company as defective by violating obligations arising from law and principle contract .Because of to compensate any damage incurred against the company with misconducts of the members of the board of directors; to contribute to the formation of board of Directors are from people who have the capabilities required by the task and are be professional and aware of one's responsibility; to increase the degree of compliance with the principles of corporate governance of joint-stock company, even if the optionally including of the professional liability insurance of the members of management board in joint stock company in the TCC No. 6102 was the right one.
