Ticari işletmenin devri, hem 6102 sayılı Türk Ticaret Kanununda hem de 6098 sayılı Türk Borçlar Kanununda düzenlenmiştir. Ancak bu düzenlemeler gerek şekil gerekse de nitelik bakımından birbirinden farklıdır. Ticari işletme sahibi, işletmesinin mali ve ekonomik yönden veya başkaca sebeplerden ötürü kötüleşmesi sonucunda bu işletmeyi ya kapatır ya da faaliyetlerine devam etmesi için devreder. 6102 sayılı TTK kapsamında yazılı olarak akdedilen devir sözleşmesiyle aksi sözleşmede belirtilmemiş ise ticari işletmeye ait tüm aktif ve pasifler bir bütün olarak devredilmektedir. Devreden, devir işleminden sonra bu değişimi sicil müdürlüğüne tescil ettirmek ve durumu üçüncü şahıslara Türkiye Sicil Gazetesi vasıtasıyla ilan ettirmekle yükümlüdür. Devreden ve devralan, muaccel borçlar için bu ilan tarihinden, daha sonra muaccel olacak borçlar için ise muacceliyet tarihinden itibaren iki yıl müteselsil sorumlu tutulmaktadır. Bu çalışmanın amacı da bu devir işleminin nasıl gerçekleştiğinin ve hangi şartlara tabi olduğunun incelenmesini içerir. Assignment of the business enterprise as a whole is regulated in both the new Law No 6102 Turkish Commercial Code and the now Law No 6098 Turkish Code of Obligations. However these regulations are different from each-other in terms of form and qualification. If the business grows worse because of financial, economic or any other reasons, owner of the business enterpris, closes that business or assigns it so that it can continue the activities. According to 6102 code of TTK if the part of contract decided to anything about transfer in contract all of assets and liabilities in commercial company transfer as a whole with contract. After transfer processing, the procedure should be appeared on registration department and declared to third part of people with commercial official registration journal. Transferor and assignee in fact are joint and several liable for two years after advertisement of trandfering. The main aim of this study is to analyze implementations and conditions of the assignment of the business enterprises.
