Bu çalışmanın konusu, sonyıllarda yurt dışında sıkça ortaya çıkan kurumsal skandal olgusu, etkileri venedenleridir. Bazı kurumlarda skandala yol açan süreçlerin aslına uygun olaraktespit edilmesine katkı sağlayabilmek için gerçek bir skandal örneği, kurumunstrateji belgesinin yardımıyla incelenmiş, ayrıca, diğer büyük skandallar vekurumsal yönetişime ilişkin yurt dışı yayınlar taranmış ve düzenleyicikurumların önemli bulguları kullanılmıştır. Sonuç olarak, performans odaklı kurumsalstratejilerin dengesiz olduğu halde dahi yöneticiler ve güçlü paydaşlar içinçok cazip olabildiği ortaya konulmuştur. Stratejilerde paydaşlar arasırisk-fayda dengesinin gözetilmesine ilişkin öneriler yapılmıştır. |

The main subject of this is article is thephenomenon of corporate scandals, their impacts and causes. With the aim of elucidatingprocesses that facilitate these scandals, a true entity’s strategy paper isdetailed to reveal the story of its scandal, and the literature about otherscandals and corporate governance is reviewed. In addition, material findingsof regulatory authorities on these issues are also utilized. In conclusion, thisstudy finds that top managers and other powerful stakeholders would ratherprefer performance based corporate strategies even when it is imbalanced. Asfor opinion about corporate strategy formulation and implementation, someideas, based on scrupulous consideration of the structure of risk andbenefit among stakeholders, are suggested. |
