Halen yürürlükte olan 818 sayılı Borçlar Kanunu (BK) tacire bağlı, onu temsil yetkisine sahip üç yardımcı öngörmüştür: Ticari mümessil , ticari vekil (m. 453) ve seyyar tüccar memuru (m. 454). Kanun seyyar tüccar memuruna göre diğer bağlı yardımcıları ayrıntılı olarak düzenlemiştir. Seyyar tüccar memuru, işletmenin merkezi dışındaki yerlerde “müessese namına sattıkları malın bedelini almak ve makbuz vermek ve borçluya mehil ita etmek” üzere yetkilendirilen tacir yardımcısıdır. Bugün için seyyar tüccar memurluğu, ticari işletme dışındaki yerlerde faaliyet gösteren ve satış temsilcisi veya pazarlamacı olarak anılan tacir yardımcılarının rolünü karşılamaktan uzak düşmüştür.01.07.2012 tarihinde yürürlüğe girecek olan 6098 sayılı yeni TürkBorçlar Kanunu (YBK), işletmenin dışında tacir adına aracılık eden veyasözleşmeler yapmak üzere yetkilendirilen bağlı tacir yardımcısını “pazarlamacı”olarak isimlendirmiş ve ayrıntılı olarak düzenlemiştir. Bu makalede pazarlamasözleşmesinin unsurları, tarafların hak ve borçları, ücret, komisyon vemasrafların ödenmesi, pazarlama faaliyetlerinin yürütülmesinin kusursuz olarakimkânsız hale gelmesi, hapis hakkı, sözleşmenin sona ermesi ve sonuçları gibikonular olabildiğince genişletilerek incelenmeye gayret edilmiştir. |

The Law of Obligations (BK) which is currently in force, organized three assistants who, dependent on the merchant, have the authority to represent him: commercial representative , commercial agent (article 453), and traveling salesperson (article 454). The law organized in detail the other dependent assistants according to the traveling salesperson. Traveling salesperson is a merchant assistant authorized to “get the price of the goods they sell on behalf of enterprise, give the receipt and grant a grace period” in places outside the center of business. Today, the travelling salesperson is far from accomplishing the role of the merchant assistant referred to as a Traveling salesman or commercial traveller who operates in areas outside the business organization. The new Turkish Code of Obligations (YBK) which will enter into force this year, names the merchant assistant, who is authorized to mediate on behalf of the merchant or make agreements outside the business center, a “traveling salesman” and regulates in detail. The paper tries to examine the issues as wide as possinle such as elements of the marketing agreement, the parties' rights and obligations, wages, commissions and paying expenses, as the faultless execution of marketing activities become impossible, retention right, termination and the results of contract |
