Türk Ticaret Kanununda tüzel kişi tacirler olarak, ticaret şirketleri, gayesine varmak için ticari işletme işleten vakıf ve dernekler ve kendi kuruluş kanunları gereğince özel hukuk hükümlerine göre yönetilen veya ticari şekilde işletilmek üzere kamu tüzel kişileri tarafından kurulan kurum ve kuruluşlar sayılmaktadır. Gerçek kişi tacirler ile tüzel kişi tacirlerin tacirlik sıfatlarının başlamasının şartları farklıdıdır. Aynı şekilde tüzel kişi tacirlerin hepsinin tacirlik sıfatlarının başlaması ve sona ermesinin şartları da farklıdır.Ticari faaliyete nihai olarak son verilmesi, ticareti terk olarak kabuledildiği takdirde gerçek kişi tacir ile tüzel kişi tacir bakımından tasfiyeanlamında fark doğacaktır. Gerçek kişi tacir bakımından ticareti terk, ticariişletmesi ile bağını kesmek anlamında iken özellikle ticaret şirketlerinde zorunluolarak tasfiye sürecinin bitirilmesi anlamına gelmektedir. Dolayısıyla tasfiyesizsona erme halleri ile gerçek kişi tacirler gibi ticari işletmesinden bağınıkoparması ticareti terk sayılan vakıf ve derneklerin tacir sıfatları hariç olmaküzere diğer tüzel kişi tacirler ancak ticaret sicilinden terkin ile ticareti terketmişsayılacaklardır. İcra ve İflas Kanunu ile Vergi Usul Kanunu’nun gerçek ve tüzelkişi tacir ayrımı yapmayan hükümlerine rağmen gerçek kişi tacir ve tüzel kişitacir ayrımı yapılarak açıklama açıklama yapılamalıdır. Uygulamada 2009 yılısonuna kadar Yargıtay 16. Hukuk Dairesinin, ticaret şirketlerinin fiili olarakticareti terki halinde ticareti terk suçunun oluşacağına dair yerleşmiş kararındanvazgeçerek ticareti terk suçunun oluşmayacağı şeklindeki yeni kararı yerinde birkarardır. Ancak Yargıtay Ceza Genel Kurulunun itiraz yoluyla verdiği son kararıeski uygulamayı devam ettirmektedir.Trading companies, association running businesses to reach their goals and enterprises and organizations which are established by public corporations and managed according to the private law in compliance with their foundation law are counted as corporate persons in Turkish code of commerce. The counditions of being traders for all corporate persons are not the same and also dissimilar to real traders. Likewise, ending of the role of trader has differences. If ending of commercial activities ultimately is considered as leaving business, there will be a difference in respect to real person traders and corporate persons in the meaning of purge. While leaving business means breaking ties with business corporation for real person trader, especially in trade firms it is necessary to terminate purge process. So, except the role of traders of the associations and foundations, whose breaking of their ties with their businesses, is regarded as leaving business like real person traders situation, other corporate persons are counted as quitted their businesses only when they deregister from the register of business names. In spite of the provisions of the Execution and Bankruptcy Law and Tax Procedure Law which do not keep separate real person trader and corporate person, it is needed to make separation between real person trader and corporate person. In practice, until the end of the 2009, the 16th. Court of Appeals Law Office reached the decision of business misdeed when business corporations leave business actually. But then the court abandoned its old decisions and reached the decision of not being a business misdeed when a business corporation leaves business, and this new decision is correct. However, the last decision of the General Assembly of the Supreme Court Criminal through an appeal againist this decisions is alike the practice of the old decisions
