Bir veya birden fazla gerçek veya tüzel kişinin ortak iradelerini ve sermayelerini ortak bir paydada birleştirmek suretiyle meydana gelen tüzel kişiliklerden biri olan şirket, temelde kar elde etme amacı güder. Kar elde etme niyeti, şirketi diğer tüzel kişiliklerden ayıran yegâne özelliktir. Şirket, temelini Türk Borçlar Kanunu’nda düzenlenen adi ortaklıktan almakta olup, türleri ve özelliklerine göre farklı türlere ayrılmaktadır. Şirket türleri 6102 Sayılı Türk Ticaret Kanununda sınırlı sayıda (numerus clasus) sayılmıştır. Sayılan bu şirket türleri arasında sermaye şirketi olarak anonim ve limited şirketler, özellikleri ve işlevsellikleri bakımından diğer şirket türlerinden ayrılmaktadırlar. Tüm şirket türlerinde olduğu gibi limited şirketler de kuruluştan sona ermeye dek temelde bir belgeyi esas alarak hareket eder. Bu belge, TTK’daki tanımlaması ile, limited şirketlerde şirket sözleşmesine karşılık gelmektedir. Şirketlerin faaliyet konusu, temel bilgileri, yönetim ve temsile ilişkin bilgileri şirket sözleşmesinde belirtilir. Ayrıca Kanunda öngörüldüğü şekliyle ortakların durumu, iç ilişkide uygulanacak kurallar da şirket sözleşmesinde gösterilir. Bu sözleşme, şirketin kuruluş şartlarındandır. Kural olarak, sözleşme hukukunda sözleşme serbestisi ilkesi geçerlidir. Sözleşme serbestisinin sınırları ise TBK m.27 ve Türk Medeni Kanunu m.23’te düzenlenen genel hükümlerdir. Şirket sözleşmesi içeriğinde zorunlu ve öngörülmesi şartıyla bağlayıcı olacak kayıtlar TTK m.576 vd. gösterilmiştir. Kanun koyucunun açıkça düzenlemediği hususların limited şirket sözleşmesinde bulunup bulunmayacağı hususunda emredici hükümler ilkesi devreye girmektedir. Emredici hükümler ilkesi ile, sermaye şirketlerinde sözleşme serbestisi önemli ölçüde sınırlandırılmıştır. İlk kez 6102 Sayılı TTK ile hukukumuza giren emredici hükümler ilkesi, anonim şirketlerden esinlenerek limited şirket sözleşmeleri için de öngörülmüştür. Emredici hükümler ilkesinin şirket sözleşmesi için geçerliliği ve etkisi doktrinde tartışma konusu olmaktadır. Bu nedenle çalışmada şirket sözleşmesi içeriğinden kısaca bahsedilerek sonrasında emredici hükümler ilkesinin tanımı, getiriliş amacı ve ilkenin yerindeliğine dair hususlar açıklanacak ve son olarak da ilkenin, şirket sözleşmesine olan etkilerine değinilecektir.Company basically seeks profit. It is one of the legal personalities consisting of one or more natural or legal identity who merges their joint intention and capital in a common ground. Its intent to make profit is the sole feature that distinguishes company from other legal personalities. Company is built on the ordinary partnership which is regulated in Turkish Code of Obligations (TBK) and has different types in terms of its features. The Turkish Commercial Code (TTK) No. 6102 counts these types in limited number (numerus clasus). Among those counted, joint stock and limited liability companies as capital stock companies differ from others in terms of features and functions. As all types of companies, limited companies operates based on a single document from its establishment to the end. According to its definition in TTK, this document is the article of association. The scope of activities, basic information and executive and representational information regarding companies are stated in the article of association. As prescribed in the code, the status of partners and the rules that are to be applied in internal relation are also indicated in the article of association. This article is one of the conditions for the establishment of company. As a rule, freedom of contract is the principle in contract law. The limits of freedom of contract are the general provisions regulated in TBK No.27 and Turkish Civil Code No.23. The mandatory conditions that will be binding provided that they will be predicted in the content of the article of association is stated in TTK No. 576 et al. The principle of mandatory rules are applied in cases when the matters not clearly defined by the law maker are on the article of association or whether these matters have the effects of the articles of association. The freedom of contract in capital stock companies is significantly restricted with the principle of mandatory rule. Inspired by joint stock companies, the principle of mandatory rule, which first time entered Turkish law under TTK No. 6102, is also prescribed for the articles of association of limited liability companies. The validity and effect of the principle of mandatory rule for the article of association are still questions of debate in theory. For this reason, this study first briefly mentions the content of article of association and then explain the definition of principle mandatory rule, the goal of its promulgation and its properness. Lastly, the effects of principle on the articles of association are addressed in the study.
