Limited şirketlerde yönetim ve temsil yetkisi tek bir müdüre bırakılabileceği gibi bu konuda birden fazla müdür de yetkilendirilebilir. Limited şirketlerde tek bir müdürün belirlendiği durumlarda söz konusu kişinin tek başına bu yetkileri kullanması gerekir. Buna karşılık birden fazla kişinin müdür olarak belirlendiği durumlarda bu yetkilerin kurul olarak kullanılması gerekir. Ancak iki kişinin müdür olarak belirlendiği durumlarda müdür sayısının müdürlerden birisinin görevinin ölüm, istifa vb. bir sebeple sona ermesi nedeniyle fiilen tek kişiye düşmesi mümkündür. Müdür olarak tek bir kişinin görevlendirilmesiyle daha sonradan müdür sayısının fiilen bire düşmesinin sonuçları birbirinden farklıdır. İlk durumda şirket sözleşmesi ve genel kurul tarafından bu konuda ortaya konulan irade, yönetim ve temsil yetkisinin tek bir müdür tarafından kullanılması yönündedir. İkinci durumda ise yönetim ve temsil yetkisinin kurul olarak kullanılması yönünde bir irade ortaya konulmaktadır. Yönetim ve temsil yetkisinin kurul olarak kullanılması, yetkili kişilerce toplantıya çağrının yapılması ve kanunda öngörülen şekilde karar alınmasını gerektirir. Dolayısıyla bu durumda müdürlerin birbirlerinden bağımsız olarak hareket edebilmesi mümkün değildir. Ancak müdürler kurulunun fiilen tek kişiye düştüğü durumlarda yönetim ve temsil yetkisinin bu kişi tarafından kullanılabileceğine ilişkin yargı kararlarına ve ticaret sicili uygulamalarına rastlanmaktadır.
